Terms of Service

1. Acceptance of Terms

By accessing the website, mobile applications, or any service of YOUNIQC Idea Lab (“the Service”), operated by YOUNIQC Inc. (“YOUNIQC,” “we,” “us”), you (“User,” “you”) agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service.

Continued use of the Service after changes to these terms are posted constitutes your acceptance of those changes.

2. Description of Service

YOUNIQC Idea Lab is an AI-powered creative assistant platform designed for content creators. The Service includes:

• The Studio — Web application for generating content ideas, captions, shot lists, and content strategies.
• The Journal — Mobile application for capturing ideas, voice notes, and chatting with U.
• U — Conversational AI agent that generates creative content suggestions.
• Chat Widget — Embeddable chat interface.

YOUNIQC never publishes, schedules, or posts content to any social platform on your behalf. You, the creator, are always the publisher and author of any content you choose to publish.

All AI-generated content is clearly labeled as such within the Service.

3. Account Registration & Eligibility

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Minimum age: You must be at least 16 years old to use the Service. If you are between 16 and 18 years old, you represent that you have the consent of a parent or legal guardian.

YOUNIQC does not offer a free tier. A paid subscription is required to access the Service.

4. Subscription Plans & Billing

YOUNIQC offers the following subscription plans:

Sparks

Sparks are the internal currency used for AI content generation. Credits are consumed with each idea request.

• Credits are non-refundable and carry no monetary value outside the Service.
• On Spark and Flow plans, unused credits expire at the end of each billing cycle.
• On Studio and Agency plans, unused credits roll over to the next billing cycle.

Annual Billing

Annual subscriptions offer a 20–24% discount. Annual fees are billed as a single payment at the start of the cycle and are non-refundable once the billing cycle begins.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing cycle. No prorated refunds are issued for the unused portion of a billing cycle.

Refunds

All fees are non-refundable except as required by applicable law. If you believe a billing error has occurred, please contact us at hello@youniqc.com within 30 days of the charge.

5. AI-Generated Content

Content produced by U (YOUNIQC's AI agent) is entirely generated by artificial intelligence. It is intended to serve as inspiration and a starting point for your own creative work.

No Guarantee of Accuracy

YOUNIQC does not guarantee the accuracy, completeness, relevance, or suitability of AI-generated content for any particular purpose. AI content may contain errors, inaccuracies, or biases.

User Responsibility

You are solely responsible for reviewing, editing, and verifying all AI-generated content before publishing or sharing it. YOUNIQC never publishes content on your behalf.

Content Ownership

You own all content you produce using YOUNIQC's suggestions as inspiration. Raw AI-generated output, before any modification by you, does not constitute an original work authored by you and may not be eligible for copyright protection under applicable laws.

6. Intellectual Property

YOUNIQC's IP

The Service, including its software, design, algorithms, AI models, prompts, U's personality, branding, and all proprietary content, is and remains the exclusive property of YOUNIQC Inc. No intellectual property rights are transferred to you through use of the Service.

Your IP

You retain all rights to content you submit to the Service (brand notes, creative briefs, voice notes, etc.). You grant us a limited, non-exclusive, revocable license to process this content in order to provide you with the Service.

License to User

YOUNIQC grants you a personal, non-exclusive, non-transferable, revocable license to use the Service in accordance with these terms.

7. Power-Ups & Premium Features

YOUNIQC offers premium AI modules called “Power-Ups” (e.g., Trend Hunter, Caption Alchemist, Director's Cut) that provide specialized content generation capabilities.

• Power-Ups consume Sparks based on their complexity.
• Some Power-Ups are available only on certain subscription plans.

Overnight Ideas

Studio and Agency plans include the “Overnight Ideas” feature, where the AI generates content while you sleep. This content is subject to the same disclaimers as all other AI-generated content.

Voice

Real-time voice conversations with U are available exclusively to Agency subscribers. Voice sessions are powered by ElevenLabs and are subject to that provider's terms.

8. Revenue Radar Disclaimer

Revenue Radar is a tool that provides monetization strategy frameworks for creators.

Revenue Radar is not financial, legal, tax, or investment advice. The suggestions provided are for informational purposes only. YOUNIQC holds no financial advisory or legal professional licenses. Consult a qualified professional before making any financial or legal decisions.

9. Data Processing & AI Providers

To provide the Service, YOUNIQC processes your data through the following third-party providers:

Your data is shared with these providers only to the extent necessary to deliver the Service. Each provider processes data in accordance with its own privacy policy and our data processing agreements.

Learning System

YOUNIQC tracks your preferences and editing patterns to improve AI suggestion quality. We also aggregate anonymized patterns across creators by niche (“collective intelligence”). No personally identifiable data is shared in the collective intelligence.

10. User Responsibilities & Acceptable Use

By using the Service, you agree not to:

• Use the Service for any illegal, fraudulent, or harmful purpose.
• Generate hateful content, harassment, exploitation of minors, incitement to violence, or any content that violates applicable laws.
• Attempt to bypass credit limits, plan restrictions, or security measures.
• Reverse-engineer, decompile, or extract YOUNIQC's models, prompts, or algorithms.
• Share your account credentials with third parties.
• Use automated systems (bots, scrapers) to access the Service without written authorization.
• Misrepresent AI-generated content as entirely human-created in violation of applicable disclosure laws.
• Resell, sublicense, or redistribute the Service or its output.

11. Content Moderation & Safety

YOUNIQC uses automated moderation systems (via OpenAI) to detect and prevent the generation of harmful, illegal, or inappropriate content.

• We reserve the right to refuse to generate content that violates our acceptable use policies.
• Content flagged by moderation systems may be reviewed by our team.
• Repeated violations may result in suspension or termination of your account.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• IN NO EVENT SHALL YOUNIQC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
• YOUNIQC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO YOUNIQC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless YOUNIQC Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these terms; (c) your violation of any third-party rights; (d) any content you publish using suggestions generated by the Service.

14. Termination & Suspension

YOUNIQC may suspend or terminate your access to the Service at any time, with or without notice, for the following reasons:

• Violation of these terms.
• Fraudulent activity or abuse of the Service.
• Non-payment.
• Legal or regulatory requirement.

Upon termination, you lose access to your account and any remaining Sparks. Unused Sparks are non-refundable. YOUNIQC may, at its discretion, provide a data export upon request within 30 days of termination.

You may terminate your account at any time by contacting us at hello@youniqc.com.

15. Changes to Terms

YOUNIQC reserves the right to modify these terms at any time. Changes will be posted on this page with an updated effective date.

For material changes, we will notify you by email or through a notice in the Service at least 30 days before the new terms take effect. Your continued use of the Service after the effective date constitutes your acceptance of the modified terms.

16. Governing Law & Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising under these terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, City of Toronto.

For users in Quebec: pursuant to Bill 96, the French version of these terms prevails in case of conflict with the English version.

Before commencing any legal proceedings, the parties agree to attempt to resolve the dispute in good faith through negotiation for a period of 30 days.
